7.Institutional Procurement
A. Background Objectives
The Power Systems Development Department within PEVP complex has the broad objective of supporting the Bank’s Regional Member Countries, Power Utilities, Regional Economic Communities, Power Pools, Regulators and other stakeholders to develop and improve their own Power Systems and the performance of their utilities for both sovereign (SO) and non-sovereign operations (NSO). Power Systems Solutions (PESD1) focuses on providing support to the RMC through Advisory services.

PESD1 is looking for an individual consultant to support the Bank and RMCs in the preparation and delivery of projects which includes Pipeline development and project preparation. The consultant is positioned as an interlocker and interlink to all key project stakeholders from project viability, structuring up to financial close. This component will strengthen clients’ abilities to screen projects and facilitate investments and Transaction structuring. Additionally, expected as an embedded advisor, the transfer of knowledge to the RMC is vital and expected as one of the key outcomes.

The AfDB invites individual consultants to indicate their interest in providing the below described services. Interested individuals must provide information indicating that they are qualified to perform the services through a) a CV; and b) a motivation letter that also refers to the relevant assignments undertaken / positions held that support the candidate’s submission.
B. Scope of work
The Intergovernmental Engagement Advisor will be embedded within the RMC and expected to strategically assist Advisory team engagements with the RMC and private sector with the four (4) streams with the overview summarized below.

 Review and advice on the outcomes of the viability assessment process
 Hand in hand with RMC’s Preparation of overall structuring process.
 Assist with the transaction advisor’s procurement (legal, technical and commercial)

Work with the RMC, and the transaction advisor to prepare project and validate risk allocations
Assist with the issues during procurement of a project developer and assure the project reaches the commercial close

 Ensure of transfer of knowledge and capacity to the RMC during this process
 Assist with the general services to the RMC, PESD advisory team, alongside SEFA and the private sector throughout

Stream I: Provision of viability assessment and project structuring services

 Provide strategic advice on the optimal implementation approach for complex power projects, focusing on structuring, and financing.
 Review materials such as appraisal reports, project brief/information memoranda, key project agreements (E.g., concession agreements, PPAs etc.) and other resources as needed.
 Review financial feasibility analyses and risk assessments for proposed projects to ensure sustainable financing solutions for investors, lenders and the electric utilities.
 Review the draft risk allocations and provide necessary advice
 Advise on key issues that will be relevant for consideration during the structuring of the PPP process, and
 Review of evaluations, of the transaction advisor, making sure they are procured to perform structuring of the project


Stream II: Provision of advisory services for the procurement, project structuring and negotiations of contractual documents
 Review the financial assumptions to guide the Implementing Agencies in the tender preparation, implementation and negotiation phases of the project.
 Identify and provide recommendations on all strategic matters relating to the tender process and the integration of different components of the projects including, where appropriate, the selection criteria, technical specifications, timeframe and other related aspects.
 Participate and provide input to the draft the tender documentation and projects agreements (including, but not limited to, a draft Concession Agreement, a draft Power Purchase Agreement, and or a draft Transmission Agreement) in consultation with the Implementation Agencies and other relevant stakeholders, such as the utilities (potential off takers)
 Assist the client in launching the tender process inputs and responding to requests for clarification, and in the receipt and handling process of the tenders to ensure compliance with applicable laws and best practices.
 Assist the client in the review and evaluation of the submissions at the relevant phases of the tender and provide recommendations to assist the client in selecting the best submission.
 Perform any additional due diligence necessary for the finalization and signing of all contractual documentation in connection with the projects.
 Advise and support the Implementation Agencies in the negotiation of the project agreements with the selected bidder (if necessary).
 Advise and support the Implementation Agencies with the drafting of any supplementary agreements that may be required.
 Procurement inputs during drafting of legal opinions required by the parties to the contracts concluded within the framework of the projects; and
 Advise and support the Implementation Agencies in the negotiation of any agreement with the lenders of the selected bidder within the framework of the conclusion of contracts concerning the project.

C. Deliverables Expected
 Viability assessment process is reviewed, and Review and advice is provided.

D. Duration and Timetable for the Assignment
a) The Consultant will be hired on a full-time basis for twenty-four (24) months.

b) The Consultant will receive a monthly lump sum, following satisfactory performance review of the executed tasks. The Bank’s guidelines on remuneration of consultants will apply, based on the candidate’s qualifications and years of experience. The Consultant is responsible for his/her own health insurance and accommodation costs/
E. Bank Contribution and Institutional Arrangement
The position is embedded within the RMC and expected to strategically assist Advisory team engagements with the RMC and private sector. The consultant works closely with PESD.1. The Intergovernmental Engagement Consultant reports to the Division Manager PESD.1.
F. Duty Station
The Consultant will work on a Hybrid (in-client’s office (embedded), HQ office, and remote work). The consultant may be required to travel for missions and work-related engagements as needed. The Bank will cover full costs of any required trip/missions if needed and provide per-diem in accordance with rules governing consultant mission travel.
G. Essential Specialized Skills/Knowledge/Competencies
 Master’s degree in economics, business, public relation, social science, political science or related field;
 Minimum Fifteen (15) years of experience in project finance with transaction advisory services;
 Minimum Ten years (10) of demonstrable experience in the following areas:
Working with (international) companies and government agencies such as Ministries of Energy, Ministry of Finance, and Electric Utilities;
Assessing knowledge-intensive energy project proposals from and for developing countries;
Worked in or for companies, organizations or governments in Africa and/or you are sensitive to multicultural communication for working in the region;
Development cooperation, especially in or with developing countries and on the cutting edge of private sector development;
 Demonstrate extensive knowledge and understanding the dynamics in assessing and structuring regional power projects and the geopolitical issues thereof;
 Good analytic skills and context sensitivity, which enable you to estimate the feasibility of actions and/or decisions;
 Experience in coordinating and participating meetings among key line ministries, including Ministry of Finance/Energy, planning authorities, regulators, and sub-national governments
 Fluency in English language and either French or Portuguese languages is required.

The Intergovernmental Engagement Consultant reports to the Division Manager PESD.1.
